TERMS OF SERVICE CLOUDSTEP | Effective Date: January 1, 2025 | Version 1.0


Welcome to CLOUDSTEP. These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "User," or "you") and CLOUDSTEP ("we," "us," or "our") governing your access to and use of our website, mobile application, and all related services (collectively, the "Services"). By accessing our Website or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must discontinue use of our Services immediately.


1. ACCEPTANCE OF TERMS

By creating an account, browsing our Website, or completing a purchase, you acknowledge that you are entering into a binding legal agreement with CLOUDSTEP. These Terms apply to all users of the Services, including browsers, registered customers, and any other individuals who access or use our platform in any capacity. Your continued use of our Services following any modification to these Terms constitutes your acceptance of the revised version.


2. ELIGIBILITY

To access and use our Services, you must meet all of the following requirements:

  • Be at least 18 years of age, or the applicable age of majority in your state or jurisdiction;
  • Have the legal capacity to enter into a binding contract under applicable U.S. law;
  • Have a valid billing address within the United States of America;
  • Not be barred from receiving our Services under any applicable law or regulation;
  • Provide accurate, current, truthful, and complete information at all times.

CLOUDSTEP reserves the right to refuse service, terminate accounts, or cancel orders at its sole discretion if eligibility requirements are not met or if any information provided is found to be false, inaccurate, or misleading.


3. ACCOUNT REGISTRATION & SECURITY

3.1 Account Creation

Customers may register for an account to access order history, manage preferences, and expedite future purchases. To create an account, you must provide a valid email address and create a secure password. You agree to keep your account information accurate and up to date at all times.

3.2 Account Responsibility

You are solely responsible for all activity that occurs under your account. CLOUDSTEP shall not be held liable for any loss, damage, or unauthorized access resulting from your failure to maintain the confidentiality of your login credentials. You must notify us immediately at Info@cloudstep.com if you become aware of any unauthorized use of your account or any security breach.

3.3 Account Termination

CLOUDSTEP reserves the right to suspend or permanently terminate any account without prior notice in cases of suspected fraud, abuse, violation of these Terms, or any activity deemed harmful to other users or to CLOUDSTEP. Customers who wish to close their account voluntarily may do so by contacting Info@cloudstep.com.


4. PRODUCTS & AVAILABILITY

4.1 Product Descriptions

CLOUDSTEP makes every effort to display product information, including descriptions, sizes, colors, and images, as accurately as possible. However, we do not warrant that product descriptions, images, or other content are entirely free from errors. Colors and textures may appear differently depending on your device's display settings. CLOUDSTEP reserves the right to correct any errors, inaccuracies, or omissions at any time without prior notice.

4.2 Availability

All products are offered subject to availability. CLOUDSTEP does not guarantee that any item listed on our Website will be in stock at the time of your order. In the event that an item becomes unavailable after your order has been placed, we will notify you promptly and offer a full refund, store credit, or an available alternative at your discretion.

4.3 Pricing

All prices displayed on our Website are listed in U.S. dollars (USD) and are subject to change without notice. CLOUDSTEP reserves the right to modify prices at any time. In the event of a pricing error, CLOUDSTEP reserves the right to cancel any orders placed at the incorrect price, with full notification and refund issued to the customer.


5. ORDERS & PAYMENT

5.1 Order Placement

Placing an order on our Website constitutes an offer to purchase the selected item(s) at the stated price. All orders are subject to acceptance and availability. An order confirmation email sent to the address provided does not constitute final acceptance of your order. CLOUDSTEP reserves the right to refuse or cancel any order at its sole discretion, including but not limited to cases of suspected fraud, pricing errors, or unusual order quantities.

5.2 Accepted Payment Methods

CLOUDSTEP accepts the following payment methods:

  • Major credit and debit cards: Visa, Mastercard, American Express, and Discover;
  • PayPal and PayPal Credit;
  • Apple Pay and Google Pay;
  • Shop Pay and Buy Now, Pay Later options where available.

All payment transactions are processed through secure, PCI-DSS compliant third-party payment processors. CLOUDSTEP does not store your full credit card information on our servers.

5.3 Sales Tax

Applicable sales tax will be calculated and added to your order total at checkout in accordance with the tax laws of your state of delivery. CLOUDSTEP complies with all U.S. state and local tax regulations and collects and remits sales tax as required by law.

5.4 Order Cancellation

Orders may be cancelled without penalty within 24 hours of placement, provided they have not yet been processed for shipment. To request a cancellation, contact Info@cloudstep.com with your order number as soon as possible. Once an order has been shipped, it is no longer eligible for cancellation and must be processed as a return in accordance with our Return & Refund Policy.


6. SHIPPING & DELIVERY

6.1 Shipping Destinations

CLOUDSTEP currently ships to all 50 U.S. states, the District of Columbia, and U.S. territories including Puerto Rico, Guam, and the U.S. Virgin Islands. International shipping is not available at this time.

6.2 Shipping Methods & Timeframes

Orders are processed within 1 to 2 business days of payment confirmation, excluding weekends and federal holidays. Estimated delivery timeframes are as follows:

  • Standard Shipping (5–7 business days): Available on all orders;
  • Expedited Shipping (2–3 business days): Available at an additional cost;
  • Overnight Shipping (1 business day): Available on qualifying orders placed before 12:00 PM Eastern Time.

Shipping timeframes are estimates and are not guaranteed. CLOUDSTEP is not responsible for delays caused by carriers, weather conditions, customs processing, or other circumstances beyond our control.

6.3 Shipping Costs

Shipping costs are calculated at checkout based on the selected shipping method, order weight, and delivery destination. CLOUDSTEP offers free standard shipping on all orders exceeding $75.00 USD before taxes and after any applicable discounts.

6.4 Order Tracking

Once your order has been shipped, you will receive a confirmation email containing a tracking number and a link to monitor your shipment in real time. CLOUDSTEP is not responsible for packages once they have been marked as delivered by the carrier. If a package is marked as delivered but has not been received, please contact the carrier directly and notify us at Info@cloudstep.com.

6.5 Address Accuracy

Customers are solely responsible for providing accurate and complete shipping information at the time of checkout. CLOUDSTEP is not liable for orders shipped to an incorrect address provided by the customer. Address changes after an order has been processed may not be possible and are not guaranteed.


7. INTELLECTUAL PROPERTY

All content on the CLOUDSTEP Website, including but not limited to logos, brand names, graphics, text, images, product photographs, software, and all other materials ("Content"), is the exclusive property of CLOUDSTEP or its licensors and is protected under applicable U.S. and international intellectual property laws, including copyright, trademark, and trade dress laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Website for personal, non-commercial purposes only. You may not reproduce, copy, distribute, republish, transmit, modify, create derivative works from, or commercially exploit any Content without the prior written consent of CLOUDSTEP. Unauthorized use of our intellectual property may result in civil and/or criminal liability.


8. PROHIBITED CONDUCT

By using our Services, you agree not to engage in any of the following activities:

  • Using our Services for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation;
  • Attempting to gain unauthorized access to our systems, servers, or databases;
  • Submitting false, misleading, or fraudulent orders, reviews, or account information;
  • Engaging in any conduct that interferes with or disrupts the functionality or security of our Website;
  • Using automated tools, bots, scrapers, or other unauthorized means to access our Services;
  • Attempting to reverse engineer, decompile, or disassemble any part of our platform;
  • Harassing, threatening, or abusing any CLOUDSTEP employee, agent, or other customer;
  • Reselling products purchased from CLOUDSTEP without prior written authorization.

Violation of any of the above may result in immediate account suspension, order cancellation, and referral to appropriate law enforcement authorities.


9. DISCLAIMER OF WARRANTIES

THE SERVICES AND ALL CONTENT PROVIDED BY CLOUDSTEP ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CLOUDSTEP EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CLOUDSTEP DOES NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.


10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE U.S. LAW, CLOUDSTEP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE OUR SERVICES. IN NO EVENT SHALL CLOUDSTEP'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE TOTAL AMOUNT PAID BY YOU TO CLOUDSTEP IN THE SIX (6) MONTHS PRECEDING THE CLAIM.


11. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless CLOUDSTEP and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your use of our Services; (ii) your violation of these Terms; (iii) your violation of any applicable law or regulation; or (iv) any content you submit, post, or transmit through our platform.


12. GOVERNING LAW & DISPUTE RESOLUTION

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States of America and the laws of the State of Delaware, without regard to conflict of law principles.

12.2 Informal Resolution

Before initiating any formal legal proceeding, you agree to contact CLOUDSTEP at Info@cloudstep.com and make a good faith effort to resolve the dispute informally. CLOUDSTEP will attempt to respond to your concern within 10 business days.

12.3 Binding Arbitration

If the dispute cannot be resolved informally, both parties agree to submit the matter to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place on an individual basis. Class action lawsuits and class-wide arbitration are not permitted under these Terms.

12.4 Exception

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent intellectual property infringement or unauthorized use of our Services.


13. PRIVACY

Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you acknowledge and agree to the collection, use, and sharing of your information as described in our Privacy Policy. 14. MODIFICATIONS TO TERMS

CLOUDSTEP reserves the right to update, revise, or modify these Terms at any time at its sole discretion. Any changes will become effective immediately upon posting to our Website. It is your responsibility to review these Terms periodically. Your continued use of our Services following any modification constitutes your binding acceptance of the updated Terms.


15. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.


16. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and Return & Refund Policy, constitute the entire agreement between you and CLOUDSTEP with respect to your use of our Services and supersede all prior agreements, representations, warranties, and understandings of any kind between the parties.
